Data Agreement Structuring Options

Please provide
different legal options on how to structure an agreement between each
consortium and PULA with clear definition of the data collector, data processor
and data controller roles given the following scenario. Consider the Data
Protection and Privacy Act * of Uganda for this analysis:
Consortium
*,* and * will hire PULA as the EUDR data collector and Data processor as well
as store the data until the industry-wide EUDR data warehouse is established.
Ideally the consortia should be the data controllers since the data is being collected
on their behalf as the industry players in coffee. However they are not legal entities
and don’t have data controller licenses from the office of data privacy and
protection. There is an option to use the UCF entity which all the consortia
members can be part of once the governance is beefed up. The UCF will take
3months to get the licenses required.
aBi has
issued grants to the consortia to enable the above data collection and
establishment of a datawarehouse. aBi also has the different licences of the
data collector, data processor, data collector. The aBi project is expected to last
months and aBi will not be part of this project afterwards and the consortia
will need to take led going forward.
PULA needs
to start data collection in * weeks in order for the industry to meet the EUDR
deadline on 1st January *
