Commercial Lease Dispute Resolution
Summary
Without a signed lease, your landlords demands for unpaid rent may be weakened. Demand a written explanation for the withheld security deposit and consider filing a complaint with the Housing and Land Use Regulatory Board (HLURB). Report the failure to issue receipts to the Bureau of Internal Revenue (BIR) for potential tax violations. Document all interactions and threats related to false accusations and harassment. For unjust rental demands, seek advice from a local lawyer. Contact the Integrated Bar of the Philippines or local legal aid organizations for further assistance.Full Conversation

Hi Jan! How can I assist you with your legal issue today?
*. Background
I rented a commercial space from Linea Development Inc., under Eduardo Yap (President).
I was given a contract but never signed it because I wanted the owner's presence and a witness.
I initially paid ₱*,* as a security deposit but never received an official receipt.
I also paid rent before, but they never issued receipts for those payments either.
*. Rental & Business Issues
My business was operational, but my permit expired. The city hall visited and issued a Show Cause Order, asking me to renew it.
However, after that visit, I stopped operating and left the space unused.
Now, they are demanding three months of unpaid rent, even though I:
Never signed the contract
Wasn’t operating anymore
*. Personal Property Removal
ill add hang on
Hi Jan! Thanks for providing the details. I understand the situation seems a bit complicated. A few questions to better assist you:
- What issues are you facing with the removal of your personal property from the commercial space?
- Do you have any written communication or evidence regarding your payments and the landlord's demands?
This information will help provide more accurate guidance.

Since the space was mine to rent, I went in at night to remove some of my personal belongings.
They are now threatening to sue me, falsely claiming I stole things.
However, many of my belongings are still inside the store, proving I didn’t take anything illegally.
*. Legal Concerns & Violations by the Landlord
No Signed Lease Agreement: I never legally agreed to the rental terms.
Unlawful Withholding of Security Deposit: They refuse to return my ₱*,*.
Failure to Issue Receipts: This could be a tax violation.
False Accusations & Harassment: They are intimidating me with baseless legal threats.
Unjust Rental Demands: They want rent for a space that wasn’t operational.
It seems you're dealing with several legal issues with your landlord. Here’s some general advice:
- No Signed Lease Agreement: Without a signed lease, their legal stance is weakened, but verbal agreements and payment records might still carry weight.
- Unlawful Withholding of Security Deposit:
- Demand a written explanation for withholding.
- If unresolved, consider filing a complaint with the Housing and Land Use Regulatory Board (HLURB).
- Failure to Issue Receipts: This could be reported to the Bureau of Internal Revenue (BIR) for tax violations.
- False Accusations & Harassment: Document all interactions and threats.
- Unjust Rental Demands: If you weren't operating, you might not be liable for rent. Seek legal advice to clarify.
